戰略新板明年併回 興櫃開放簡易公發

〔記者歐宇祥／台北報導〕相較於證交所持續放寬創新板規定、積極做大創新板，櫃買中心總經理李愛玲昨宣布，2年前推出的戰略新板，將於明年1月1日併回興櫃一般板，並開放整體興櫃市場都可使用簡易公開發行機制，以加速中小規模企業進入資本市場，而併入戰略新板後的興櫃市場，不會像之前戰略新板限制交易對象、一般投資人均可參與。但若是使用簡易公發機制的公司，也將加強監理。
簡化申報書件 但強化監管
李愛玲說，戰略新板從2年前開板至今，已有28家公司申請在戰略新板掛牌，其中27家公司使用簡易公發機制，並有4家公司已轉上櫃掛牌，另有2家公司於今年申請上櫃，1家申請上市、1家申請上創新板。顯見戰略新板搭配簡易公發機制可有效加速中小企業進入資本市場，因此將擴大實施，未來公司可選一般公開發行機制、也可選擇簡易公發機制登錄興櫃。

櫃買中心說明，簡易公發機制是簡化申報書件，將財務報告由2本3年度簡化為1本2年度、內部控制制度專案審查期間則由1年縮短為半年，根據中介機構回饋意見，此制度確實有助於降低進入資本市場的前置作業與時間成本。
維持議價制 不限交易對象
針對採用簡易公發機制的公司，李愛玲表示，櫃買中心也將強化其登錄興櫃後的監理措施，也會要求會計師強化內控；至於興櫃市場整合後的交易制度，則維持原一般板之推薦證券商造市商角色與議價交易制度，且不限定交易對象，一般投資人均可參與，以求持續擴大興櫃市場。
李愛玲也表示，興櫃市場整合與開放採簡易公發機制已獲金管會證期局初步同意，待櫃買中心修正相關規章等，再報主管機關同意後公告施行，預計於明年1月1日開始實施，也代表戰略新板明年就將走入歷史。
